Corporate and commercial services: charities, Not-for-Profit, healthcare and contracts.

 

Corporate and commercial work has been a significant part of my practice. I have represented a diverse range of clients, including Ministries of Health, Local Health Districts, listed and non-listed companies, small businesses, charities, and other not-for-profits. My work in this area has involved establishing, buying, selling, and leasing various enterprises, such as hospitals, health facilities, IT and manufacturing businesses, motels, and vineyards.

I regularly handle tasks like setting up companies and negotiating operational agreements, including joint venture/unitholders agreements, distribution agreements, building contracts, standard form contracts for the sale and supply of goods and services, heads of agreement, and binding and non-binding memoranda of understanding.

For retirees, I provide guidance on all types of Retirement Village agreements, particularly when buying off the plan or dealing with developer-initiated changes. I also advise on aged care agreements, understanding the emotional aspects involved.

When working with lenders, I prepare loan agreements, deeds of guarantee and indemnity, and related documentation. For borrowers, I review and advise on the documents they are asked to sign. Additionally, I handle tasks such as preparing, registering on the PPSR, and enforcing General Security Deeds.

Much of my work over the years has involved tendering for the construction of facilities like hospitals and car parks on government land, as well as negotiating long-term operation agreements for such facilities.

I have experience in setting up and advising on the constitutions and trust deeds of numerous charities and not-for-profit associations, in both the public and private sectors. I assist my clients in navigating the regulatory landscape affecting them, including matters related to public and private ancillary funds. Whether acting on behalf of charities or government entities, I prepare and negotiate a variety of funding agreements and related project deliverables.
